Jim is a business lawyer with more than 30 years of experience, primarily in Northern Virginia.  A key focus of his practice is the representation of liquidating trustees and secured and unsecured creditors, including commercial lenders, landlords, franchisors, equipment financiers, and venture capitalists holding distressed companies in their investment portfolio, in connection with workouts and bankruptcy filings.  Jim also represents business debtors in Chapter 11 reorganizations or Chapter 7 liquidations.  Jim has served as a Chapter 7 bankruptcy panel trustee and has been twice certified as a Business Bankruptcy specialist by the American Board of Certification.  (Note: Virginia does not recognize out of state certifying organizations.) 

As an experienced corporate lawyer, Jim also handles mergers and acquisitions, along with the full range of business legal issues, from entity selection and formation to governance rights to executive compensation, intellectual property questions, contracts, employment law and business finance, for closely held business entities.       

Jim's extensive background includes multiple representations of major companies from government IT contractors to manufacturers, medical software developers and 501c(3) charities. He has worked with purchasers, sellers, creditors, debtors and shareholders in multi-million-dollar corporate deals and has helped create executive compensation plans. One of his major engagements involved serving as general counsel of an economic development's acquisition of a former military base, including negotiations of the master development agreement with the private sector joint venture partner. In another major representation, he led the team that acquired 175 gas stations/convenience stores in four US jurisdictions for a foreign purchaser. Jim also serves as General Counsel to the World Information Technology and Services Alliance (WITSA), providing corporate guidance advice to the Secretary General and Board, developing model license and hosting agreements for world congresses of IT executives.
